Terms of Service

Draft placeholder · Version 1.1 · Proposed effective date: November 1, 2026

1. About these Terms

These Terms of Service ("Terms") govern access to and use of the ITP customer mobile application, customer web portal, and their associated online features, collectively referred to as the "Platform."

The Platform is operated by Inland Truck Parts and Service ("ITP," "we," "us," or "our"). "You" means the individual using the Platform and, when that individual acts with appropriate authority on behalf of a business or other organization, that organization.

By selecting the agreement checkbox and completing the acceptance process, you agree to these Terms. If you do not agree, do not continue using the authenticated features of the Platform. You may contact your servicing location to discuss other ways to communicate with us and manage your repair needs.

2. What the Platform does - and does not authorize

The Platform allows eligible customers and their authorized representatives to access available vehicle and repair information, communicate with ITP, review documents, and respond to specific requests for authorization.

Features may vary by account, servicing location, device, and user permissions.

Accepting these Terms, creating an account, signing in, or accessing a repair order does not authorize ITP to perform repair work, purchase parts, incur charges, or approve an estimate on your behalf.

Repair authorizations are separate transactions governed by the specific request presented to you, your recorded decision, applicable service agreements, and applicable law.

These Terms do not replace separately applicable repair agreements, commercial-account agreements, payment terms, parts warranties, or workmanship warranties. Those documents continue to govern their respective subjects. Nothing in these Terms expands the scope or amount of an individual repair authorization.

3. Account eligibility, security, and authority

You must be at least 18 years old and legally able to enter into these Terms. You must provide accurate account information and keep your contact details reasonably current.

ITP may verify your identity, relationship to a customer account, and authority before providing access to account information or particular functions. Creating an account does not automatically entitle you to access a company's vehicles, repair orders, messages, or financial information.

Use your own assigned account. Do not share your credentials or allow another person to submit decisions under your identity. Protect your sign-in credentials and notify ITP promptly if you suspect unauthorized access.

When acting for a business, fleet, vehicle owner, or other organization, you represent that you have authority for the particular action you take. Permission to view information or exchange messages does not, by itself, establish authority to approve repairs or incur charges.

Organizations are responsible for identifying their authorized representatives and promptly notifying ITP when a representative's access or authority should change. ITP may request additional verification or decline to rely on a decision when authority is unclear.

Using the Platform on behalf of an organization does not, by itself, make an individual employee a personal guarantor of that organization's debts.

4. Separate repair approvals and declines

4.1 Each request is a separate decision

An "Authorization Request" is a specific request presented for your approval or decline. It identifies the relevant repair order and vehicle or equipment, describes the proposed work, and states the amount and other terms associated with that request.

A single repair order may contain multiple Authorization Requests and multiple approvals or declines.

Each decision applies only to the Authorization Request and version identified when you submit that decision. It does not authorize or decline other work merely because that work appears on the same repair order.

For example, approving one request and declining another authorizes only the approved request. A repair order's overall status does not replace the individual authorization records.

4.2 What an approval means

When you deliberately submit an approval through the designated approval function, you authorize only the work, parts, and associated charges described in that Authorization Request, subject to its stated limitations.

Before approving, review the vehicle or equipment identification, work description, amount, treatment of taxes and fees, and any request-specific conditions. Contact the servicing location before approving anything that is unclear or incorrect.

A request must identify whether its amount is a fixed price, an estimate, or a not-to-exceed amount. Describing an amount as an estimate does not provide open-ended permission to increase the authorized charges or perform additional work.

Approval of diagnostic work, inspection, or disassembly does not authorize subsequent repairs unless those repairs are expressly included in the approved request.

4.3 Additional, revised, and replacement requests

If additional work or an increase in authorized charges is needed, ITP will seek a separate authorization before performing the affected additional work or incurring the additional charges.

An additional request must distinguish the added work and amount from work already authorized. When a revised repair-order total is displayed, that total does not itself authorize work outside the specific request.

A replacement request must identify the earlier request it replaces and explain the proposed change. An approval or decline recorded against an earlier version will not automatically be applied to a changed version.

ITP will preserve the history of requests and decisions rather than silently changing the scope or amount associated with a recorded decision.

4.4 What a decline means

A decline means you do not authorize the work described in that particular request.

Declining one request does not automatically cancel other approved requests, eliminate charges for properly authorized work already performed, or close the repair order.

A decline does not establish that a vehicle is safe to operate, and it is not, by itself, a release of claims or a waiver of rights concerning other work.

If declining a request affects the feasibility or safety of other work, ITP may pause the affected work and contact you to discuss the next steps.

4.5 No approval by silence or ordinary use

Failing to respond, opening a message, viewing an estimate, receiving a notification, or allowing a request to expire is not approval.

General discussions and ordinary messages are not substitutes for the Platform's designated approval process. Any specific authorization obtained outside that process must be separately obtained and documented by the servicing location in accordance with applicable requirements.

4.6 Changing or withdrawing an approval

If you need to change or withdraw an approval, promptly contact the servicing location or use any specifically designated cancellation function.

A later decline of a different request does not withdraw an earlier approval. Do not assume that posting a general message has stopped work.

Subject to applicable law, ITP will address a cancellation or change request based on the status of the work and the ability to stop safely. You may remain responsible for properly authorized work already performed and properly disclosed, lawfully incurred commitments that cannot reasonably be canceled.

These Terms do not independently create cancellation, restocking, storage, or other charges. Any such charges must have an applicable contractual and legal basis.

4.7 Submission errors and conflicting information

Confirm that the Platform reports successful submission of your decision. If you receive an error, do not receive confirmation, or see an unexpected decision, contact the servicing location promptly.

Repeatedly submitting the same approval does not expand its scope or authorize duplicate charges.

If you believe an authorization record is incorrect or unauthorized, notify ITP so that we can investigate and address the record and any affected work.

5. Estimates, scheduling, invoices, and payment

Estimated completion times, appointment information, parts availability, and repair-status updates are provided for planning purposes unless ITP expressly agrees otherwise. They may change as diagnosis progresses or circumstances change.

Changes to scheduling or availability do not authorize additional work or higher charges.

ITP may correct errors or revise an unaccepted estimate before requesting approval. A correction affecting an already approved scope or amount must be addressed through the applicable authorization process rather than treated as automatically accepted.

Invoices, account balances, and payment obligations are governed by the applicable repair and commercial-account agreements. Viewing an invoice or account statement does not approve additional work or waive a billing dispute.

Accepting these Terms does not authorize an automatic bank debit, payment-card charge, recurring payment, or extension of credit.

6. Electronic actions and records

When you intentionally complete an action labeled as acceptance, approval, or decline, you intend that action to serve as your electronic signature or recorded decision for the specific matter identified on the screen.

ITP may maintain records identifying the user, customer account, request and version, displayed scope and amount, submitted decision, date and time, and relevant security information described in our Privacy Policy.

These records may be used to document the transaction. They do not eliminate your right to report an error, dispute an unauthorized action, or present other relevant evidence.

You may obtain copies of your applicable terms, authorization records, and service documents through available Platform functions or by contacting ITP, subject to identity verification and your access rights.

This section does not replace any additional electronic-record disclosures or consent process required by applicable law.

7. Messages and notifications

The Platform may provide service-related communications through the app or portal and, where enabled, email or device notifications. Device notifications are subject to your device settings and permissions.

Messages and notifications may be delayed, filtered, or unavailable. A delivery or read indicator does not establish that an employee has acted on your message.

For urgent questions, changes to work already authorized, or concerns requiring immediate attention, contact the servicing location directly.

The Platform is not an emergency-response service. Do not rely on it to report an emergency or request immediate roadside assistance.

Acceptance of these Terms does not, by itself, enroll you in optional marketing communications.

8. Information and files you submit

You may submit information, messages, photographs, videos, documents, and other materials through available Platform features ("Customer Content").

You are responsible for ensuring that you have the right to submit Customer Content and that information you provide is accurate to the best of your knowledge.

Do not submit unlawful, threatening, abusive, misleading, or infringing content, malicious files, or another person's confidential information without authority. Do not include passwords, full payment-card details, or other unnecessary sensitive information in messages or attachments.

You retain your rights in Customer Content. You grant ITP a limited, nonexclusive permission to store, reproduce, process, and display it as reasonably necessary to provide the Platform, communicate about service, perform authorized work, maintain appropriate records, and comply with legal obligations.

ITP may permit service providers acting on its behalf to perform those functions. This permission does not authorize public advertising use of your content without separate permission.

Content associated with a business account or repair order may be accessible to other appropriately authorized users of that account and relevant ITP personnel.

9. Privacy and device permissions

Our Privacy Policy, available at [PRIVACY POLICY LOCATION], explains how we collect, use, share, protect, retain, and delete personal information associated with the Platform.

These Terms do not replace notices, choices, or permissions required for particular data practices.

Where a feature uses a camera, photo library, notifications, or another device capability, any required device permission will be requested separately. Declining a permission may prevent use of the associated feature without necessarily preventing use of unrelated Platform functions.

Do not submit information that you do not want shared with the authorized participants in the relevant account or service conversation.

10. Permitted use and intellectual property

Subject to these Terms and your access permissions, you may use the Platform for legitimate customer-service and account-management purposes.

You may not attempt to access another customer's information, bypass security or approval controls, impersonate another user, manipulate authorization records, interfere with the Platform, introduce malicious software, or extract data through unauthorized automated means.

Except where applicable law permits otherwise, you may not copy, reverse engineer, resell, or exploit the Platform's software or proprietary materials without permission.

ITP and its licensors retain their rights in the Platform, its software, branding, and other proprietary materials. This does not transfer ownership of your Customer Content or restrict your lawful use of your own service records.

Applicable app-store and software-license terms also apply to downloaded applications. These Terms govern ITP's customer services and do not replace any applicable separate application license.

Third-party services accessible through the Platform may have their own terms and privacy notices.

11. Availability, information, and safe use

We aim to provide a useful and reliable Platform, but do not promise uninterrupted availability, compatibility with every device, or error-free operation. Maintenance, software updates, connectivity issues, and other events may affect access.

You are responsible for maintaining a suitable device, supported software, and internet access. Your provider's ordinary connectivity charges may apply.

To the extent permitted by law, the Platform's software and online features are provided on an "as available" basis, without additional implied warranties beyond those that cannot lawfully be excluded.

This provision concerns the digital Platform. It does not disclaim or alter warranties applicable to physical repairs, workmanship, or parts.

A repair-status label, photograph, message, or displayed completion status is not, by itself, a certification that a vehicle is roadworthy or an authorization to release it. Confirm pickup and release arrangements with the servicing location.

Do not use the Platform while driving or operating equipment.

12. Limitations relating to Platform use

To the extent permitted by law, neither party will be liable to the other for indirect or consequential losses arising solely from an interruption of, or inability to access, the Platform.

This exclusion does not apply to liability arising from fraud, willful misconduct, gross negligence, or liability that applicable law does not permit to be excluded.

It also does not limit rights or obligations concerning physical repair work, parts, damage to a vehicle, personal injury, applicable warranties, privacy or data-protection duties, or work performed without required authorization.

Nothing in these Terms permits ITP to exceed an authorization or relieves either party of obligations under a separately applicable service agreement.

13. Suspension, account closure, and deletion

ITP may restrict or suspend access when reasonably necessary to address a security concern, investigate suspected misuse, comply with law, resolve uncertainty about account authority, or address a material violation of these Terms.

Where practical and appropriate, we will provide notice and an opportunity to address the issue. Immediate action may be necessary for security or legal reasons.

You may stop using the Platform at any time. You may request deletion of your Platform account through [IN-APP ACCOUNT-DELETION FUNCTION] or [WEB ACCOUNT-DELETION REQUEST PAGE]. We may verify your identity before processing the request.

Account deletion is different from canceling repair work or closing an organization's commercial account. It does not automatically cancel an authorization, resolve an outstanding invoice, or eliminate an existing contractual obligation.

We will process account and associated personal-data deletion requests in accordance with our Privacy Policy and applicable requirements. Certain records may need to be retained for legitimate legal, security, fraud-prevention, accounting, warranty, or dispute-related purposes, as explained in that policy.

An individual's account deletion does not necessarily require deletion of an organization's independently maintained repair and transaction records. Retention of personal information within those records remains subject to applicable requirements.

Contact the servicing location to manage open work or obtain records to which you remain entitled after Platform access ends.

14. Changes to the Platform and these Terms

We may update the Platform and these Terms as our services, operations, or legal requirements change.

We will identify the revised Terms by effective date and version. For material changes, we will provide notice before the changes take effect and request renewed acceptance where appropriate or required.

Changes to these Terms will not retroactively change the scope, amount, or decision associated with an earlier repair authorization.

If you do not accept revised Terms required for continued Platform use, you may stop using the Platform and contact your servicing location about managing existing business through other available methods.

We will not treat acceptance of revised Terms as approval of additional repair work.

15. Questions, disputes, and governing law

Please contact [CUSTOMER SUPPORT CONTACT] about a concern involving the Platform. Include enough information to identify the affected account or repair order, but do not send passwords or unnecessary sensitive information.

We encourage prompt communication so that issues can be investigated. Contacting support is not a waiver of legal rights or a requirement to delay action needed to preserve those rights.

These Terms are governed by the laws of [STATE], subject to applicable federal law and mandatory protections that cannot be displaced by agreement.

Unless applicable law or a separately controlling agreement provides otherwise, disputes concerning these Terms may be brought in the courts located in [COUNTY AND STATE].

Disputes concerning physical repairs, parts, payment, or other services remain subject to the applicable service agreements and law. These Terms do not independently impose mandatory arbitration or a class-action waiver.

16. General provisions

If a provision of these Terms is found unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

A failure to enforce a provision on one occasion does not waive the ability to enforce it later.

These Terms constitute the agreement concerning use of the Platform, except for separately applicable agreements expressly identified above. They do not supersede an existing repair or commercial-account agreement concerning its own subject matter.

Provisions that reasonably need to continue after Platform use ends - including provisions concerning existing transaction records, intellectual property, disputes, and accrued obligations - will continue to apply.
